Garry A. Berger, the firm’s principal, is a pioneer in the legal services industry. He literally wrote the book on new legal models – Garry is co-author of Finding Bliss: Innovative Legal Models for Happy Clients & Happy Lawyers, a book focused on the future of the legal profession that was published by the American Bar Association in January 2015. Garry’s practice focuses on technology, licensing and other commercial transactional work. Prior to founding Berger Legal, Garry worked as an in-house lawyer at The Thomson Corporation (now Thomson Reuters). He spent three years at Weil, Gotshal & Manges in New York and two years as a judicial law clerk to a federal judge in the Southern District of New York. He earned his law degree from Columbia University School of Law in 1994, where he was a Harlan Fiske Stone scholar, and his undergraduate degree from Brandeis University in 1991, magna cum laude.
Diane Bunt practices in the fields of general corporate law, securities law, corporate governance, compliance, commercial law and contracts. Diane spent eight years in-house as Senior Associate General Counsel to Sequa Corporation, where she was responsible for securities and general compliance matters, corporate governance, and contracts and was corporate secretary to the Sequa Board of Directors. Prior to joining Sequa, she was a corporate associate at the law firm of Chadbourne & Parke (now Norton Rose Fulbright), including a secondment to the legal department of American Brands (now Fortune Brands). Diane graduated cum laude from Boston College Law School, where she was the Administrative Editor of the UCC Reporter-Digest. She received her B.A. from Stony Brook University.
Jennifer Rose is a corporate lawyer, with a practice emphasis on mergers & acquisitions, intellectual property-based transactions, limited liability company law, and other business formation and governance. In addition, she has significant experience in structuring, drafting and negotiating the documentation for a wide variety of commercial transactions. She previously worked at Richards & O’Neill (now Bingham McCutchin) and Rogers & Wells (now Clifford Chance). Ms. Rose earned her law degree in 1996 from New York University School of Law, where she was Senior Articles Editor of the Annual Survey of American Law. She received her B.A. in Government from Cornell University in 1993, graduating with Distinction in All Subjects.

Ann Laemmle is a corporate lawyer with broad global capital markets and other financing and transactional experience and expertise in securities law, disclosure, corporate governance, regulatory and risk management matters. Prior to joining Berger Legal, Ann was a Managing Director at Credit Suisse, advising on treasury, regulatory, corporate governance and disclosure matters in New York and Zurich. Prior to joining Credit Suisse, she was a corporate associate in the New York, London and Hong Kong offices of Cleary, Gottlieb, Steen & Hamilton LLP. Ann received her J.D. with honors from the University of Texas School of Law.
Preethy Kolachalam is a transactional attorney whose experience includes drafting and negotiating a wide variety of commercial agreements. She has extensive experience counseling a large spectrum of clients from apparel companies to financial institutions, at both early and late stages of development. Prior to joining Berger Legal, Preethy spent five years as a corporate associate in the New York offices of Stroock & Stroock & Lavan LLP and Pryor Cashman LLP where she developed, in particular, a focus on mergers and acquisitions. Preethy earned her law degree at Cornell Law School and holds a B.A. in economics and psychology from the University of California, Los Angeles.
Justin Houghton is a transactional attorney whose expertise includes drafting and negotiating a wide array of agreements and performing strategic analysis with respect to both legal and business matters, with extensive experience counseling a large spectrum of clients from global financial institutions and Fortune 500 companies to start-up enterprises. In particular, his practice covers commercial, financial and intellectual property-related matters, and Justin also has experience representing sponsors, managers and investors in private equity funds, hedge funds and registered mutual funds. Prior to joining Berger Legal, Justin spent six years as an associate in the New York and Hong Kong offices of Shearman & Sterling, including a secondment in the alternative investments legal team at Credit Suisse. Justin earned his law degree at New York University School of Law, and in addition to his legal experience, holds an M.B.A. from the NYU Stern School of Business and a B.S. in finance from Wake Forest University.
Ed Holmes represents institutional investors in investment transactions as well as regulatory and compliance matters. He has extensive experience representing clients in fixed maturity investment transactions. His experience includes representation of clients in corporate private placements, direct lending, project finance and structured leasing investments. Ed has represented clients in high profile, bespoke, capital market transactions, including serving as lead attorney representing AIG in connection with the wind-down of its securities lending business and the Maiden Lane II transaction with Federal Reserve Bank of New York.
Ed is also experienced in global regulatory and compliance issues affecting the financial services industry generally, as well as Federal Reserve/Dodd-Frank compliance and governance issues applicable to investments and investment operations. He co-founded a compliance consulting firm which counsels, and provides operational support to, start up and small-sized investment advisers and broker dealers.
Ed was previously General Counsel to AIG Investments, overseeing legal, regulatory and compliance matters in connection with the group’s global network of investment advisors and broker dealers, through which investment and capital market transactions were made in virtually all asset classes.
Jeremy L. Hill began his legal career at Coudert Brothers in the firm’s corporate department. He has since held a series of legal and compliance positions at major financial institutions including at Bank of America, Credit Suisse and Société Générale. At Société Générale, Jeremy was Head of Investment Banking Compliance in London and later Chief Operating Officer of the firm’s Research & Strategy Department in New York. In 2013, he co-founded TF Market Advisors, a macro and credit advisory boutique. Since 2014, he has held a variety of business and consulting positions, most notably managing the Old Blackheath Companies family office.
Michael Harris practices in the fields of corporate transactions, licensing and intellectual property, and executive compensation and employment matters. Michael previously was the Senior Vice President, General Counsel and Corporate Secretary of The Thomson Corporation (now Thomson Reuters), where he held executive-level positions for 13 years. At Thomson, where he ran not only the Legal department, but also risk management, real estate and procurement, Michael was responsible for negotiating and completing hundreds of tactical and strategic acquisitions. Michael is a former Small Claims Court Judge and a commercial panel member of American Arbitration Association; he has also served as an arbitrator for the New York Stock Exchange. Michael started his legal career at Skadden Arps Slate Meagher & Flom. He received his B.A. degree from New York University, where he was on the Dean’s List and Order of the Coif, and received his J.D. degree from St. John’s University School of Law in 1974.
Sari Greenberg is a corporate transactional lawyer with broad experience in commercial transactions, media and technology and mergers and acquisitions. Prior to joining Berger Legal, Sari served as general counsel of a digital media company and spent 15 years as an in-house lawyer at NBC Universal, including two years as Chief Legal Counsel of CNBC, where she was responsible for technology and content licensing, social media, production, programming and talent deals, as well as structuring and negotiating domestic and international joint ventures, acquisitions and divestitures. Sari received her J.D. from George Washington University Law School and her B.A. from Tufts University.
Elisabeth Duncan practices corporate law, with a particular expertise in representing both funds and investors in global private equity (including venture capital and start up) funds and alternative investment funds and mergers and acquisitions. Prior to joining Berger Legal, Eisabeth was a Managing Director at Societe General where she was responsible for in-house corporate legal work in the United States, including advising the M&A, Private Equity and Investment Banking departments. Previously, she was a corporate associate at Simpson Thacher & Bartlett in New York City. Elisabeth received her J.D. from Georgetown University Law School, where she was Articles Editor of The Law Journal, and her B.A. from Brown University.
Elissa Davis practices in the fields of commercial and residential real estate law, general corporate law, compliance, joint ventures/investments and intellectual property licensing. She previously worked as an associate at Proskauer Rose. Elissa also worked at Battle Fowler (now Paul, Weiss, Rifkind, Wharton & Garrison). She began her career as a law clerk to current U.S. Supreme Court Justice Sonia Sotomayor when Justice Sotomayor was a district court judge in the Southern District of New York. Elissa earned her law degree in 1993 from Cardozo Law School, where she was the Editor-in-Chief of The New Europe Law Review. She received her B.A., in political science, from New York University in 1990, graduating with distinction in all subjects.
Helena Cawley focuses her practice on helping start-up companies work through the intricacies associated with getting a business off the ground, handling everything from forming a legal entity to drafting and negotiating early stage contracts. Helena previously practiced corporate and tax law at Simpson Thacher & Bartlett LLP and Akin Gump Strauss Hauer & Feld LLP. Helena is also a seasoned entrepreneur herself, having started two businesses: Uplift, a women-only fitness studio in NYC and LA, and SweatStyle, a curated subscription service for activewear. Helena graduated from New York University School of Law and from University of Pennsylvania, cum laude.
