Irene Fondriest profile

Irene Fondriest has more than ten years’ experience as a business and finance attorney specializing in contracts, corporate finance transactions, compliance matters and intellectual property. Prior to joining Berger Legal, Irene served as in-house counsel in the corporate finance department of Dartmouth-Hitchcock Medical Center, where she actively negotiated a wide variety of contracts, including consulting agreements, licenses, master services agreements, and non-disclosure agreements, as well as securities and finance-related provisions for complex business transactions. In addition, she advised the non-profit organization on healthcare regulatory matters, intellectual property issues, federal taxation and securities law relating to municipal bonds and capital raising strategies. Irene’s broad expertise in contract negotiation and commercial transactions includes counseling technology companies on corporate matters at the San Francisco law firm of Leland, Parachini, Steinberg, Matzger, Melnick, where she focused her practice on equity and debt financing, as well as on mergers and acquisitions and corporate reorganizations. In her previous position as a court attorney to the Honorable Charles E. Ramos in the Commercial Division of the New York Supreme Court, Irene drafted decisions on intricate legal issues in the area of contracts and corporate governance. Irene commenced her legal career as a litigator in Italy, where she counseled clients on labor disputes and real estate issues. Irene earned her law degree, magna cum laude, from the University of Trento, Italy, and her LL.M. in Corporate Law from New York University School of Law. She also received an Advanced Certificate in Graduate Business Education from New York University Stern School of Business. Irene is licensed to practice law in Italy, New York and Vermont.
